Ведение предпринимательской деятельности сопряжено с определенными рисками, преимущественно финансового характера. Опытный предприниматель еще на этапе ведения переговоров не только оценивает своего возможного контрагента (проверяет его платежеспособность, наличие невыполненных обязательств и обременений), но и думает о том, как наиболее эффективно застраховать себя от возможных рисков неисполнения обязательства.
Необходимость обеспечить добросовестное исполнение обязательств со стороны контрагента порождает разнообразные формы обеспечения, которые широко используются на практике. Пожалуй, наиболее распространенной формой обеспечения, которую можно встретить практически в любом украинском контракте, является неустойка. При этом, на сегодняшний день это, скорее, дань традиции, нежели действенный механизм, способный защитить от неисполнения.
Распространены и такие формы обеспечения как поручительство и залог. Справедливости ради нужно отметить, что они достаточно эффективны. Однако, длительная процедура их реализации, которая требует знания многих нюансов, делает их не всегда приемлемыми.
Реалии нынешней бизнес среды, и скорость, с которой заключаются и исполняются сделки, требуют более эффективного механизма защиты, который в случае необходимости может быть оперативно реализован.
Все чаще стороны предпочитают включать в свои контракты не совсем привычные для украинской правовой системы механизмы обеспечения.

«Guarantees»
Performance in the amount of USD XXXXXX to ensure the good execution of the contract. The performance bond value can be decreased during the execution of the contract, at Parties consensus.
Давайте разберемся, что же такое «performance bond» и стоит ли подписываться под контрактом с такой оговоркой.
Performance bond, или иными словами «гарантия исполнения» - это достаточно простой механизм, применяемый сторонами коммерческих сделок для обеспечения своих обязательств.
Performance bond представляет собой обязательство банка, выданное по запросу принципала (к примеру, продавца), выполнить платеж в пользу бенефициара (покупателя) в пределах заранее согласованной суммы, в случае нарушения продавцом отдельных положений контракта. К таким нарушением может, например, относится непоставка/недопоставка товара, нарушение сроков поставки, поставка товара несогласованного качества и иные нарушения контракта.
Услуга в виде предоставления performance bond сейчас достаточно распространена в банковской сфере и предлагается многими банками как один из видов гарантий.
Механизм работы performance bond достаточно простой. Одна из сторон контракта, которая обязана предоставить гарантию, обращается в банк и открывает performance bond в пользу контрагента на заранее согласованную сумму. В случае неисполнения обязательств, обеспеченных performance bond, заинтересованная сторона обращается в банк за выплатой суммы гарантии.
Как правило, performance bond предоставляется, когда речь идет об обеспечении обязательств по торговым контрактам. При этом, распространенной практикой является предоставление performance bond в договорах подряда.
Сумма, на которую предоставляется performance bond, зависит как от условий работы банка (в том числе и от юрисдикции, которой подчиняется банк), так и от условий договоренности сторон. Так, performance bond может быть оформлен на 2% от суммы контракта, а может покрывать и 100%. Размер во многом зависит от того, какие риски он покрывает. К примеру, если речь идет о непоставке товара в целом (т.е., полного неисполнения обязательств по контракту), то выдача и реализация performance bond в размере 10% от контракта вряд ли существенно облегчит жизнь пострадавшей стороны. А вот если речь идет только об обеспечении обязательства по поставке товара в срок, то указанная сумма может быть вполне приемлемой.
Какие условия выдачи performance bond
Условия выдачи performance bond зависят от многих нюансов, которые необходимо оценивать в совокупности.
Кто предоставляет Performance bond?
Существует распространенное мнение о том, что performance bond - это гарантия, которая предоставляется исключительно продавцом (поставщиком) по контракту, обеспечивая покупателя гарантией от того, что поставка не будет осуществлена продавцом. Однако существующая практика это мнение в корне опровергает. Performance bond - это не только гарантия обязательства продать (поставить), но и обязательства принять поставку и оплатить ее. К примеру, в процитированном нами контракте условие по предоставлению performance bond относилось именно к покупателю.
Performance bond или банковская гарантия?
В чем же отличие performance bond от привычной для нас банковской гарантии? И тот, и другой инструмент задействованы в качестве обеспечения исполнения обязательства. И в одном, и в другом случае схема реализуется посредством банка, который при нарушении обеспеченных обязательств выплачивает заранее оговоренную сумму.
Если обратиться к предложениям отдельных банков, performance bond предлагается как один из видов банковской гарантии, наряду с такими гарантиями как гарантия платежа (payment guarantee), гарантия авансового платежа (advance payment guarantee), тендерная гарантия (bid bond).
Основное отличие performance bond от привычной банковской гарантии в том, что при наличии performance bond нет необходимости доказывать/подтверждать факт нарушения обязательства. Банк реализует performance bond на основании заявления клиента о том, что имеет место факт неисполнения.
На практике мы встречали контракты, в которых наряду с обязательством по предоставлению performance bond была также предусмотрена и банковская гарантия.
Соглашаться или нет?
С одной стороны, performance bond – это гарантия, подтверждающая серьезность намерения сторон. Если сторона, на которую возлагается обязанность по предоставлению performance bond, является добросовестной, и не намерена нарушать условия сделки, сомнений в применении performance bond, казалось бы, быть не должно.
При этом, благодаря своей простой реализации и относительной доступности performance bond иногда становится инструментом мошеннических схем. Стоит только допустить малейшее нарушение контракта (пусть, по вашему мнению, совершенно несущественное), как это инструмент будет реализован.
Соглашаясь на подписание контракта с условием performance bond, нужноне только быть уверенным в репутации вашего контрагента, но и тщательно проанализировать условия, при которых данный вид обеспечения может быть реализован: покрывает ли данная гарантия лишь невыполнение отдельных обязательств, или при любом нарушении договора противоположная сторона может задействовать данный механизм.
Заранее «увидеть» все риски, которые таит в себе контракт, и прогнозировать все возможные последствия зачастую бывает сложно. Лучший вариант – проанализировать контракт вместе со специалистами, которые не только помогут разобраться в хитросплетениях предложенного вам драфта, но и укажут на возможные риски, которые можно нивелировать еще на стадии подписания контракта.

Гарантия исполнения (Performance bond) представляет собой распространенный вид гарантии обеспечения исполнения обязательств по закупкам, государственным, коммерческим или муниципальным контрактам. Посредством данной банковской гарантии банк, выступающий гарантом, берет на себя обязательство произвести выплату гарантированной суммы бенефициару по просьбе поставщика услуг или товаров или же иного подрядчика, выступающего в роли принципала, на тот случай, если поставщик не сможет исполнить в полной мере свои обязательства по поставке.
Размер гарантии исполнения и что она обеспечивает
Гарантия должного исполнения государственного контракта не может превысить 10 % от стоимости данного контракта. Данная форма обеспечения гарантирует выполнение поставки или предоставление услуги в строго установленное время и в соответствии с контрактом (договором). Причем банк-гарант не должен проявлять заботу в отношении надлежащего исполнения услуг или выполнения поставки, поэтому у него нет обязанности контроля. Performance bond имеет цель укрепления договорных отношений, возникших между принципалом и бенефициаром. Эта гарантия свидетельствует об ответственности и серьезности намерений принципала, она служит гарантом для каждой из сторон совершаемой сделки. Имея гарантию исполнения, продавец или исполнитель услуг становится желанным партнером для бенефициара и приобретает статус серьезного и солидного участника сделки. Ко всему прочему при возникновении обстоятельств непреодолимой силы, повлекших за собой невозможность надлежащим образом исполнять свои обязательства по договору, поставщик, получивший такую гарантию, может не волноваться за дальнейшее развитие событий. В такой ситуации обязательство по выплате гарантированной суммы покупателю или получателю услуг переходит к банку-гаранту.
Срок действия гарантии исполнения
От 6 месяцев до 2 лет - это средний период действия данной гарантии. Гарантия будет действовать до тех пор, пока правильное функционирование согласно договору на оказание услуг или выполнение работ не станет бесспорным. Как пример: гарантия действует, пока происходит монтаж оборудования и последующая приемочная инспекция. Срок требует четкого установления. Поэтому, если дата, когда он заканчивается, не может быть указана конкретно, то в договоре на оказание услуг или осуществление работ или в договоре купли-продажи время, до которого действует гарантия, должно быть точно указано. Будьте бдительны по отношению к неоднозначным фразам, таким как «до приемлемого функционирования».
Продление срока действия гарантии исполнения
Не полное исполнение работ на момент окончания срока действия гарантии свидетельствует о том, что принципал имеет право выступить с просьбой о продлении срока действия гарантии (пролонгации). Гарантия исполнения контрактных обязательств (Performance bond) может быть востребована:
- когда поставщик не может исполнить договор в полной мере, например, компания признана несостоятельной или вовсе произошла ее ликвидация;
- когда имеет место рекламация по качеству.
